project-approving procedure

1       the approve and management of overseas-invested enterprise
1.1     projects with a total invested capital of under US$30 million are approved by Shanghai Nonggongshang (Group) Head Company
1.2     if the Chinese partner belongs to Nonggongshang Group, projects with a total invested capital of over US$30 million and other projects which should be approved by the competent department of State Council are submitted to the Municipal Development Planning Commission, the Municipal Economic Commission and the Municipal Foreign Investment Commission for approval by the head company, and finally the projects should be submitted to the relevant department of State Council.

2       the approving procedure of foreign-owned enterprises
2.1     foreign investors grant authorized agency to work out project proposal founded by the agriculture development bureau and submit to the local People’s Government .
2.2     after that, register the company name to the Industrial & Commercial Bureau
2.3     work out feasibility report, corporation charter and report to the local People’s Government
2.4     by dint of the reply to feasibility report, corporation charter, claim organization code certificate to the relevant department
2.5     after the approval of feasibility report, corporation charter, apply for approval certificate to the local Economic and Trade Bureau
2.6     register to the local Industrial & Commercial Bureau and apply for business licenses to the bureau

3       the approving procedure of sino-foreign joint venture or cooperative enterprise
3.1     Chinese party (or grant a consulting organization) work out project proposal and submit to Shanghai Nonggongshang (Group) Head Company for approval
3.2     after that, register the company to the Industrial & Commercial Bureau
3.3     work out feasibility report, corporation charter and contract by both parties and submit to Shanghai Nonggongshang (Group) Head Company for approval
3.4     by dint of the reply to feasibility report, corporation charter and contract, claim organization code certificate to the relevant department
3.5     after the approval of feasibility report, contracts, corporation charter, apply for approval certificate to Shanghai Nonggongshang (Group) Head Company
3.6     register to the local Industrial & Commercial Bureau and apply for business licenses to the bureau.

required documents

1.      Valid business certificates of the parties concerned (duplicate 1). The business license of foreign party should be translated into Chinese by Shanghai professional translation company (2 Chinese originals). The business license of the Chinese party should be copied and stamped by the issuing authority (2 Chinese originals).

2.      A bank credit certification of the foreign party should also be provided (2 originals), and should be translated into Chinese by the translation company (2 originals). If the Chinese party is the limited company, guarantee of net assets should also be provided (the sample forms are provided by the Industrial & Commercial Bureau).

3.      Identification paper of foreign legal person (the copy of the passport).

4.      Identification paper, resume and picture (2 copies) of members of president, vice president, manager, vice manager, supervisor and liaison man.

5.      Site lease contract of place of registration (2 originals), and provide land certificate, title deed, lease agreement, title deed of the lessor.

6.      Certificate of entrustment signed by the legal representative (3 originals).

7.      Name list of the board of directors, certificate of appointment signed by the investors (before the Industrial & Commercial Bureau sends the forms, investors provide the name list).

8.      Project proposal.

9.      Feasibility report.

10.     One formal name and two reserved name (Chinese and English version),and the range of the business.

11.     If entrust the agency to submit, certificate of entrustment should be signed (3 originals).
